warrantygivesYouspecificlegalrights,andYoumayalsohaveotherrightswhichvaryfromstatetostate.

11. JURISDICTION.TherightsandobligationsofthepartiestothisAgreementshallbegovernedandconstruedin

accordancewiththe

lawsandintheStateandFederalcourtsoftheCommonwealthofMassachusetts,withoutregardtoitsrules

withrespecttochoiceoflaw.Youwaiveanyobjectionstothepersonaljurisdictionandvenueofsuchcourts.

12. GENERAL.

(a) ThisAgreementshallnotbeassignablebyYouwithouttheexpresswrittenconsentofEnterasys.Therightsof

EnterasysandYourobligationsunderthisAgreementshallinuretothebenefitofEnterasys’assignees,licensors,and

licensees.

(b) SectionheadingsareforconvenienceonlyandshallnotbeconsideredintheinterpretationofthisAgreement.

tobeillegalorotherwiseunenforceable,inwholeorinpart,theremainingprovisionsofthisAgreementshall

neverthelessbebindingonandenforceablebyandbetweenthepartieshereto.

(d) Enterasys’waiverofanyrightshallnotconstitutewaiverofthatrightinfuture.ThisAgreementconstitutestheentire

understandingbetweenthepartieswithrespecttothesubjectmatterhereof,andallprioragreements,representations,

statementsandundertakings,oralorwritten,areherebyexpresslysupersededandcanceled.Nopurchaseordershall

supersedethisAgreement.

(e) ShouldYouhaveanyquestionsregardingthisAgreement,
